公司長大了，優秀的人開始進來了，新人和創始團隊之間就會形成井水和河水的分界線，往往容易發生兩撥人之間的斗爭。

As the company grows, excellent people start to come in, and there will be a boundary between the newcomers and the founding team, often leading to conflicts between two groups of people.

這個時候就會有早期的創始人退出，如果是在股權成熟期之前退出，就一定要按照股權綁定的游戲規則來進行。

At this point, early founders will exit. If they exit before the equity maturity period, they must follow the rules of the equity binding game.

但這也會存在問題，如果離開的創始人在公司占的股權比較高，且公司后來做的比較大，就會造成全體創業者為這個不在位的合伙人打工的局面。

But there will also be problems. If the departing founder holds a relatively high equity stake in the company and the company later becomes larger, it will cause all entrepreneurs to work for this absent partner.

所以，如果你要做根本的股權調整，就要把他的股權適當的收回一部分，調整到一個比較合理的結構上。

So, if you want to make a fundamental equity adjustment, you need to take back a portion of his equity appropriately and adjust it to a more reasonable structure.

如果你想處置的便利，一開始可以約定合伙人的股權由創始人代持，并且合伙人的股權成熟機制越長越好，這樣也有利于團隊的穩定性。

If you want to dispose of it conveniently, you can initially agree that the equity of the partners will be held by the founder, and the longer the mature mechanism of the partner's equity, the better, which is also conducive to the stability of the team.

任何股東或創始股東要退出的話，公司股東或其他合伙人有權以一個事先約定的價格收回股權，未成熟的肯定要收回，已經成熟的也要看怎么處置。

If any shareholder or founding shareholder wishes to withdraw, the company's shareholders or other partners have the right to reclaim their equity at a pre agreed price. Immature ones must be reclaimed, and mature ones must also be disposed of accordingly.

而創始合伙人不管誰離開，要對歷史貢獻有一個認可，但認可的方法是不一致的。這個需要事先說好，否則沒法談。尤其是當團隊發生矛盾后，在中國非常紳士的離開是很少見的。

因此，合伙人之間最好簽訂一個《合伙人創業協議》（和投資協議，股權融資協議不同），以此來約定彼此之間的權利和義務關系。
